Contract assignment explained

StraightAcre editorial team · Sources checked October 14, 2026

An assignment transfers a contractual interest under the agreement’s terms. Ask who will buy the land, who must perform, and what disclosures and consent are required before signing.

Distinguish the contract from the land

A party holding a purchase contract may have a contractual interest without holding legal title. An assignment of that interest and a deed conveying land are different documents. Ask a qualified professional to explain the agreement’s effect and whether assignment is allowed.

Texas requires written disclosure

Texas Property Code §5.0205 addresses disclosure before selling an option or assigning an interest in a purchase contract. It requires written disclosure of the nature of the interest to the potential buyer and of the intent to sell or assign to the property owner. Texas Legislature: Property Code §5.0205.

TREC also distinguishes accurately offering an equitable interest from offering another person’s property as if it were owned by the advertiser. Its guidance explains that brokerage activity can require a license. TREC: sale of equitable interests.

Questions to resolve in the purchase contract

How this applies to a StraightAcre inquiry

Our website discloses that a transaction may involve our buyer network. Ask for the proposed structure in writing before signing. Do not infer that every inquiry is a direct purchase by the same entity or that an assignment is guaranteed to close.

Other states require their own review

This page explains a Texas example, not a nationwide legal clearance. The parcel’s state, the activity performed, licensing rules, advertising, disclosures, and contract language all matter. Obtain current local legal advice before using an assignment structure.

Tell us about your land

Send the county, parcel ID, ownership information, and any known tax or title issues. We will review whether the property fits our current acquisition criteria. An inquiry is not a binding offer or a promise to purchase.
